1. Acceptance of Terms

By accessing or using the services provided by Fennec Solutions ("Fennec," "we," "us," or "our"), including our website at fennecsolutions.ai and our AI sales automation platform, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Services

Fennec Solutions provides AI-powered sales automation software and services, including:

• AI sales agent deployment for SMS and other communication channels
• Lead qualification, conversation management, and appointment scheduling automation
• Sales intelligence dashboards, signal analysis, and business memory tools
• Integration with third-party platforms including Twilio, Facebook Lead Ads, and CRM systems

3. Client Responsibilities

As a Fennec client, you agree to:

• Obtain all legally required consents from end users before initiating SMS or other communications through our platform
• Comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, applicable state laws, and carrier messaging guidelines
• Maintain accurate records of opt-in consent for all contacts you add to the platform
• Not use the platform to send spam, deceptive, or unlawful messages
• Promptly honor all opt-out requests received from end users
• Maintain a compliant privacy policy and terms of service on your own website

4. Prohibited Uses

You may not use Fennec's services to:

• Send unsolicited commercial messages to individuals who have not opted in
• Engage in deceptive, fraudulent, or misleading communications
• Violate any applicable federal, state, or local laws or regulations
• Harass, threaten, or abuse end users
• Impersonate any person or entity
• Attempt to reverse-engineer, copy, or replicate Fennec's AI models or platform

5. SMS Messaging

Fennec's platform includes SMS automation capabilities provided through Twilio and other messaging carriers. By using these features, you agree that:

• You are responsible for ensuring all recipients have provided prior express written consent to receive automated text messages
• You will include opt-out instructions in messages where required by law (e.g., STOP to unsubscribe)
• Fennec will honor global suppression of opted-out numbers immediately and permanently
• Message and data rates may apply to end users; you are responsible for disclosing this where required

6. Data and Privacy

Your use of Fennec's services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You grant Fennec a limited license to process data you provide or that flows through the platform solely to deliver and improve the services.

Fennec's AI systems learn from anonymized, aggregated conversation patterns. Individual customer PII is never used to train cross-client models.

7. Intellectual Property

All software, AI models, interfaces, and proprietary methods developed by Fennec Solutions are our exclusive intellectual property. These Terms do not grant you any ownership rights in Fennec's platform. Your data remains your property; we do not claim ownership of it.

8. Disclaimers

Fennec's services are provided "as is" and "as available." We do not guarantee that the platform will be error-free, uninterrupted, or that AI-generated conversation outputs will be accurate in every instance. AI agents may occasionally produce unexpected responses; you are responsible for monitoring performance and maintaining human oversight appropriate to your business.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Fennec Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the services, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless Fennec Solutions and its officers, directors, employees, and agents from any claims, damages, fines, penalties, or expenses (including legal fees) arising from your use of the platform in violation of these Terms, applicable law, or third-party rights.

11. Termination

Either party may terminate the service relationship with notice. Fennec reserves the right to immediately suspend or terminate access if you violate these Terms, applicable messaging laws, or carrier acceptable use policies.

12. Governing Law

These Terms are governed by the laws of the United States and the state in which Fennec Solutions is incorporated, without regard to conflict of law principles.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the services after changes are posted constitutes acceptance. We will update the "Last updated" date when changes are made.
